Terms of Service

1. Agreement
These Terms of Service ("Terms") form a binding agreement between you ("you" or "User") and Sky Blue Ventures LLC, an Ohio limited liability company doing business as AuctionScout ("AuctionScout," "we," "us," or "our"), governing your access to and use of the website at auctionscout.app, the AuctionScout web application, and any related services (collectively, the "Service"). By creating an account, accessing the Service, or clicking "I agree," you accept these Terms in full. If you do not agree, do not use the Service.
2. The Service
AuctionScout aggregates publicly available foreclosure and tax-sale auction information from county sheriff and court websites, enriches it with property data and AI-generated investment analysis, and presents it through a web platform. The Service is intended as a research aid for real estate investors. It is not a brokerage, not a financial or legal advisor, and not a substitute for independent due diligence.
3. Eligibility & Accounts
- You must be at least 18 years old and able to enter into a binding contract.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You must provide accurate, current information at signup and keep it up to date.
- You may not share, sell, or transfer your account.
- We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or unlawful purposes.
4. Subscriptions, Billing, and Cancellation
Some features of the Service require a paid subscription. Pricing is displayed at signup and may change with notice.
Free trial. We may offer a 14-day free trial. During the trial, you will not be charged. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription and the payment method on file will be charged.
Recurring charges. Subscriptions automatically renew at the end of each billing period (monthly or annually, as selected) until cancelled. By providing a payment method, you authorize AuctionScout, through Stripe, our payment processor, to charge that payment method on a recurring basis.
Cancellation. You may cancel at any time from the customer portal in your account settings. Cancellation takes effect at the end of your current billing period; you will retain access until then.
No refunds. Except where required by law, all payments are non-refundable. We do not provide refunds or credits for partial billing periods, unused time, or features you choose not to use. The free trial described above is the intended opportunity to evaluate the Service before paying.
Failed payments. If a payment fails, we may suspend or terminate your access until the balance is settled. You remain responsible for all amounts owed.
Taxes. Listed prices do not include applicable sales, use, or value-added taxes, which we may collect and remit as required by law.
5. Acceptable Use
You agree not to:
- Reverse-engineer, decompile, or attempt to derive the source code of the Service.
- Scrape, crawl, or use automated means to extract data from the Service, except via interfaces we explicitly provide for that purpose.
- Resell, sublicense, or redistribute the Service or its data to third parties.
- Use the Service to violate any law, infringe any third party's rights, or interfere with any other user's use of the Service.
- Upload or transmit malware, phishing content, or anything intended to disrupt or damage the Service.
- Attempt to bypass authentication, rate limits, subscription gates, or other access controls.
- Use the Service to harass, defame, or threaten any person.
6. Auction Data — Accuracy and Use at Your Own Risk
Auction information displayed on the Service is aggregated from public sources, including county sheriff websites, court records, and third-party data providers. This data may be incomplete, out of date, or inaccurate. Auction details — including dates, times, locations, opening bids, deposit requirements, sale status, sold prices, and property attributes — can change without notice and may be updated, postponed, cancelled, withdrawn, or rescheduled by the sheriff, court, or other authority at any time.
AI-generated content on the Service — including but not limited to predicted prices, investment grades, ROI estimates, rental projections, renovation cost estimates, and natural-language analyses — is produced by automated models and is provided for informational and research purposes only. It is not a guarantee of any outcome, value, or return.
You are solely responsible for independently verifying any auction information before bidding, purchasing, or making any financial decision. Always confirm dates, times, deposit requirements, opening bids, sale status, title, lien position, and property condition directly with the relevant sheriff's office, court, title company, attorney, or licensed real estate professional. Do not rely on AuctionScout as your sole source of information.
Nothing on the Service constitutes legal, financial, tax, investment, real estate, or appraisal advice. AuctionScout is not a licensed real estate broker, attorney, financial advisor, appraiser, or tax professional. Consult a qualified professional before acting on any information you find on the Service.
7. Intellectual Property
The Service, including its software, design, branding, AI models, aggregated and enriched data, and all content we create, is owned by AuctionScout or our licensors and is protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal or internal business research, subject to these Terms. No other rights are granted by implication.
8. User Content
The Service may allow you to enter information such as wishlist entries, project notes, custom assumptions, and analysis inputs ("User Content"). You retain ownership of your User Content. You grant AuctionScout a worldwide, royalty-free, non-exclusive license to host, store, process, and display User Content as needed to operate the Service for you. You are responsible for ensuring you have the right to share any User Content you submit.
9. Third-Party Services
The Service relies on third-party providers including Stripe (payment processing), Microsoft Azure and Microsoft Entra (hosting and authentication), and others. Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the acts or omissions of third-party providers.
The Service may also link to or reference third-party websites and information sources, including county sheriff and court websites. We do not control and are not responsible for the content, availability, or accuracy of those external sites.
10. Termination
You may terminate your account at any time by cancelling your subscription and discontinuing use of the Service. We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms, if your account has been inactive for an extended period, or if continuing to provide the Service to you would expose us to legal or operational risk. On termination, the rights granted to you under these Terms cease immediately. Sections that by their nature should survive termination — including Sections 6, 7, 11, 12, 13, 14, and 15 — will survive.
11. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, AuctionScout disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, and availability. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, that defects will be corrected, or that any data displayed will be accurate, current, or complete.
No advice or information, whether oral or written, obtained from AuctionScout or through the Service creates any warranty not expressly stated in these Terms.
12. Limitation of Liability
To the fullest extent permitted by law, AuctionScout, its members, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Service, regardless of the legal theory and even if we have been advised of the possibility of such damages.
In no event will AuctionScout's total cumulative liability arising out of or relating to these Terms or the Service exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the total amount you paid AuctionScout in the twelve (12) months immediately preceding the event giving rise to the claim.
These limitations apply to any liability whatsoever, including liability arising from breach of contract, tort (including negligence), strict liability, or any other legal theory. Some jurisdictions do not allow certain limitations on warranties or liability; in those jurisdictions, the foregoing limitations apply to the maximum extent permitted by law.
13. Indemnification
You agree to defend, indemnify, and hold harmless AuctionScout, its members, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Service; (b) your User Content; (c) your violation of these Terms or any law; or (d) your violation of any third party's rights, including any decision you made or action you took in reliance on information presented through the Service.
14. Dispute Resolution — Binding Arbitration and Class Action Waiver
Please read this section carefully. It limits your legal rights, including your right to sue in court and to participate in a class action.
14.1 Binding Arbitration. Except for the carve-outs in Section 14.3, any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be resolved exclusively by final, binding, individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration will be conducted in the English language. The arbitrator's decision will be final and may be entered as a judgment in any court of competent jurisdiction.
14.2 Class Action and Jury Trial Waiver. You and AuctionScout each agree that any Dispute will be resolved on an individual basis only. You and AuctionScout waive any right to bring or participate in any class, collective, consolidated, or representative action. You and AuctionScout also each waive any right to a trial by jury.
14.3 Carve-Outs. Notwithstanding Section 14.1, either party may: (a) bring an individual claim in small-claims court if the claim qualifies; (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or breach of confidentiality; and (c) bring an action to enforce an arbitration award.
14.4 Opt-Out. You may opt out of the arbitration agreement and class-action waiver in this Section 14 by sending written notice to [email protected] within thirty (30) days of first accepting these Terms. The notice must include your name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms.
14.5 Severability of Class Action Waiver. If the class-action waiver in Section 14.2 is found unenforceable as to any Dispute, that Dispute will be resolved in court rather than in arbitration, but the rest of Section 14 will remain in effect.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws principles. Subject to Section 14, any judicial proceeding permitted under these Terms must be brought exclusively in the state or federal courts located in the State of Ohio, and you consent to the personal jurisdiction and venue of those courts.
16. Changes to the Service and to These Terms
We may modify, suspend, or discontinue any part of the Service at any time. We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page with a revised "Last updated" date and, where appropriate, notify you by email or in-app notice. Your continued use of the Service after the updated Terms take effect constitutes acceptance of the changes. If you do not agree, you must stop using the Service and may cancel your subscription.
17. Miscellaneous
- Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and AuctionScout regarding the Service and supersede any prior agreements.
- Severability. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
- No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
- Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control.
- No agency. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and AuctionScout.
- Headings. Section headings are for convenience only and do not affect interpretation.
